Terms of Service

1. Engagement Models & Billing

Greyrock Designs LLC provides three distinct pathways for engagement. The specific model for your project is defined in your initial Project Proposal or Invoice.

  • Website as a Service (WaaS): A 12-month subscription partnership. Billing includes a monthly Subscription Fee plus Hosting/Maintenance. Payments are consecutive and cannot be paused or delayed due to client-side content or approval delays.

  • Fixed-Price Projects: Discrete, milestone-based projects (e.g., branding or one-time builds). Payments are tied to specific deliverables defined in the Proposal.

  • Hourly Engagement: For ongoing support or tasks with an undefined scope. Billing is based on actual hours worked at our standard rate, invoiced according to the schedule in your Project Proposal.

2. Term, Termination & Buyout

  • WaaS Early Termination: To terminate a WaaS agreement before the 12-month commitment, the Client must pay the full remaining balance of the 12-month term immediately.

  • Fixed-Price & Hourly Cancellation: If a project is canceled after work has commenced, Greyrock Designs LLC retains a minimum of 25% of the total project estimate and reserves the right to bill for all hours worked up to the date of cancellation.

  • Waiver: Greyrock Designs LLC reserves the sole discretion to waive penalties or remaining balances on a case-by-case basis.

3. Intellectual Property & Asset Delivery

  • WaaS Clients: Full ownership of custom design and code transfers to the Client only upon completion of the full 12-month term or a total buyout of the contract.

  • Fixed-Price & Hourly: Ownership transfers to the Client immediately upon receipt of final payment in full.

  • General: Third-party licenses (plugins, fonts, stock assets) remain the property of their respective owners. Upon ownership transfer, Greyrock is released from all hosting and maintenance obligations. Migration labor to a third-party environment is billed at our standard hourly rate.

4. Administrative Access

  • Development/Subscription Phase: Greyrock retains primary administrative access to maintain site security and integrity. WaaS clients may be limited to "Editor" roles during the term.

  • Handover: Full administrative "Super Admin" rights are granted only upon completion of the contract term (WaaS) or receipt of final payment (Fixed-Price/Hourly).

5. Referral Program

  • WaaS Subscribers: Eligible for a $50/month discount for every new client referred who signs a 12-month WaaS agreement. Total discounts cannot exceed the referrer’s monthly subscription cost.

  • Fixed-Price/Hourly Clients: Eligible for a one-time credit toward future work, applied at the sole discretion of Greyrock Designs LLC.

6. Warranties & Liability

Greyrock Designs performs services consistent with industry standards. We do not guarantee specific business outcomes, search engine rankings (SEO), or 100% server uptime.

Limitation of Liability: Our total liability shall not exceed the total amount paid by the Client in the three (3) months preceding any claim.

7. Indemnification & Governance

The Client agrees to indemnify and hold Greyrock Designs LLC harmless against any claims arising from materials provided by the Client or any breach of these Terms. These Terms, alongside the specific Stripe Subscription or Project Invoice, constitute the entire agreement between both parties.

8. Client Delays & No Penalty

The project timeline is contingent on the Client providing timely feedback, approvals, assets, and access as outlined in this agreement. Greyrock Designed will make every reasonable effort to keep the project on schedule; however, delays caused by the Client may impact delivery dates and overall project scope.

No Penalty to Greyrock Designed Greyrock Designed shall not be held liable for missed deadlines, cost overruns, or reduced quality resulting from Client-caused delays. Any additional work required to re-onboard, re-scope, or re-execute deliverables following a delay may be billed at the standard hourly rate ($100.00).
