Service Terms & Partnership Overview

I. Service Overview

At Greyrock Designs LLC, we provide "Website as a Service." We act as your ongoing digital partner for a 12-month initial term to ensure your site stays modern and effective.

II. Terms of Service

1. 12-Month Commitment & Billing

All subscriptions are subject to a twelve (12) month initial commitment. The total monthly investment consists of the agreed-upon Subscription Fee plus all applicable Hosting and Maintenance Fees.

• No Pauses: The Initial Term must be completed in consecutive monthly payments. Payments cannot be paused or deferred.

• Content Delays: The subscription and billing cycle begin upon the first payment. Delays by the Client in providing content, media, feedback, or approvals do not pause, post-pone, or extend the billing cycle.

2. Early Termination & Buyout

The Client may terminate the agreement prior to the 12-month mark by providing written notice via email. Upon notice, the Client is required to pay the full remaining balance of the 12-month term (Subscription + Hosting fees) immediately.

• Discretionary Waiver: Notwithstanding the above, Greyrock Designs LLC reserves the sole right to waive the remaining balance or permit early termination without penalty on a case-by-case basis.

3. Asset Delivery ()

Upon completion of the initial term or payment of the buyout, Greyrock will provide the Client with access to a repository or design file containing the website . Following this transfer, Greyrock is released from all hosting, maintenance, and support obligations. Any labor required to migrate or set up the site on a new environment will be billed at our standard hourly rate.

4. Administrative Access

During the Initial Term, Greyrock Designs LLC retains primary administrative access to the hosting environment and CMS to ensure security and performance. Client access may be restricted to "Editor" roles to prevent accidental site failure or unauthorized modifications. Full administrative rights are transferred only upon completion of the contract term.

5. Referral Fee Reduction Program

Active subscribers are eligible for a monthly fee reduction for every new client referred to Greyrock Designs LLC who signs a 12-month agreement.

• Discount: For each successful conversion, the referring Client will receive a [Insert Dollar Amount, e.g., $25] discount off their monthly bill for as long as both the referrer and the referred client remain active subscribers.

• Limit: Discounts cannot exceed the total monthly cost of the referring Client’s subscription.

6. Intellectual Property

Full ownership of the custom website design and code transfers to the Client only upon completion of the 12-month term or full payment of the buyout balance. Third-party licenses (plugins, fonts, etc.) may remain the property of their respective owners and may require individual purchase by the Client upon contract termination.

7. Warranties, Disclaimers & Liability

Greyrock Designs performs services consistent with industry standards but does not guarantee specific business results, search engine rankings, or 100% uptime. Greyrock is not responsible for failures caused by third-party providers. Our total liability shall not exceed the total amount paid by the Client in the three (3) months preceding any claim.

8. Indemnification

The Client agrees to indemnify Greyrock Designs LLC against any claims arising out of materials provided by the Client or any breach of these Terms.

9. Entire Agreement

These Terms, together with the Stripe Subscription details, constitute the entire understanding between the parties and supersede all prior discussions or communications.
